These Wholesale Terms (“Terms”) are an agreement between Mello Tabs LLC, a North Carolina limited liability company (“Mello Tabs,” “we,” “us,” or “our”), and each business that applies for or holds a wholesale account or places a wholesale order (“Buyer,” “you,” or “your”). The Wholesale Shipping and Returns Policy, the Buyer’s Compliance Certification (Forms A and B), and the Privacy Policy are incorporated into these Terms. Consumer purchases through mellotabs.com are governed by our separate Terms of Use and Sale, not by these Terms. By opening a wholesale account or placing a wholesale order you accept these Terms, and the version accepted at the time of an order governs that order.
1. Wholesale accounts and authorized purchasers
Wholesale pricing and products are available only to approved wholesale customers. To open an account you must provide accurate business information, a valid resale or sales-tax certificate where applicable, the licenses and registrations listed on Schedule 1 to the Buyer’s Compliance Certification, and an executed Form A Master Buyer’s Compliance Certification. We may approve, deny, suspend, or revoke wholesale accounts at any time. By placing an order through the Site, by invoice, or through a wholesale account, you represent that you are authorized to purchase on behalf of the business named in the order, and that business is responsible for payment of all purchases made under its account or with its payment methods.
2. Buyer’s Compliance Certification
Every wholesale order is conditioned on the Buyer’s Compliance Certification: the Form A Master Certification on file for the account and the Form B Per-Order Attestation (or the equivalent checkout acknowledgment) for each order. Among other things, the Certification confirms that Buyer holds the licenses its jurisdictions require, that receipt and resale of the Products are lawful there, that Buyer assumes responsibility for receiving-jurisdiction compliance, that Buyer will not sell or deliver the Products to anyone under 21 (or the higher applicable minimum age), that Buyer will make no health, disease, or drug claims and will not describe the Products as dietary supplements, and that Buyer will not ship or resell into any destination we identify as a Tier 1 prohibited destination. We will not ship an order without a current Certification, and we do not ship to a Tier 1 prohibited destination under any Certification.
3. Products; hemp compliance
Our Products are chewable tablets and capsules made with CBD and CBG isolate derived from hemp, produced from cannabinoids naturally occurring in the plant by extraction and purification, with no synthetic or chemically converted cannabinoid and no detectable THC of any kind at the accredited laboratory’s lower limit of quantitation. Each lot is accompanied by a Certificate of Analysis from an independent ISO/IEC 17025-accredited laboratory, and each container carries a lot number linking it to that COA. The Products are produced from hemp as defined by federal law, including the definition as amended by Section 781 of Public Law 119-37 on the effective dates set by Congress, and by North Carolina law. We make no representation about the law of any other jurisdiction; that is Buyer’s responsibility under the Certification. The Products are not marketed as dietary supplements, medicines, or drugs, and statements about them have not been evaluated by the U.S. Food and Drug Administration.
4. Orders, pricing, and payment
Wholesale prices, minimums, and pack sizes are stated on the wholesale price list or the Site’s wholesale pages and may change without notice, but a change does not affect an accepted order. We may refuse or cancel any order, limit quantities, or require additional verification before processing. Payment is due as stated on the invoice or at checkout; we may hold shipment until payment clears. Buyer is responsible for all applicable sales, use, excise, and similar taxes in its jurisdiction and for providing a valid resale certificate where it claims exemption.
5. Final sale; shipping and returns
All wholesale sales are final except as provided in the Wholesale Shipping and Returns Policy, which governs shipment terms, title and risk of loss, inspection and claims for damaged, defective, or incorrect goods, carrier claims, and holds. Products are non-returnable for unsold inventory, changes in market demand, or buyer’s remorse.
6. Resale, labeling, and marketing
Buyer will resell the Products only in their original, unaltered packaging with lot identification intact; will not relabel, repackage, or rebrand them; will not sell them through vending or self-service devices accessible to minors; will use only product statements that appear on the Products’ labels or that we have approved in writing; will not make any statement that the Products diagnose, treat, mitigate, cure, or prevent any disease or relieve any symptom; will not market them to persons under 21; and will maintain lot-level records and cooperate with any recall. Buyer may use our trademarks only to identify the genuine Products for resale and not in any domain name, social-media handle, or other manner that suggests affiliation beyond that of an authorized reseller.
7. Payment disputes and fee recovery
Buyer agrees to contact us to resolve any order or billing issue before initiating a chargeback or payment dispute. Nothing in these Terms prohibits a dispute that Buyer is entitled to bring under the rules of its card network or bank. If a dispute is determined to be invalid because the charge was valid, we may recover the transaction amount, the third-party processing and dispute fees incurred, and our reasonable costs of responding, and repeated or abusive disputes may result in suspension or termination of the account.
8. Warranty disclaimer
Except as expressly stated in the Wholesale Shipping and Returns Policy or on a product’s Certificate of Analysis, the Products are sold “as is,” and Mello Tabs disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. No written warranty or guarantee is given.
9. Limitation of liability
To the fullest extent permitted by law, Mello Tabs’ total liability arising out of or relating to any order shall not exceed the purchase price paid for the order giving rise to the claim, and Mello Tabs shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or costs of substitute goods.
This limitation does not apply to liability for our gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited under applicable law.
10. Indemnification
Buyer will defend, indemnify, and hold harmless Mello Tabs and its members, managers, employees, and agents from and against all claims, penalties, losses, and expenses (including reasonable attorneys’ fees) arising from Buyer’s breach of these Terms or the Certification, Buyer’s resale, marketing, or handling of the Products, or any failure by Buyer or its customers to comply with the law of any jurisdiction into which Buyer sells. This obligation does not extend to claims arising from our own gross negligence or willful misconduct.
11. Confidentiality
Wholesale pricing, terms, and non-public product or business information we provide are confidential and may be used only for the purpose of the wholesale relationship.
12. Term; suspension; termination
These Terms apply for so long as Buyer holds a wholesale account or has an open order. We may suspend or terminate an account for breach of these Terms or the Certification, for any lapse in Buyer’s licensure, or for any enforcement action concerning Buyer’s sale of the Products. Sections 6, 7, 8, 9, 10, 11, and 13 survive termination.
13. Governing law; venue; fee recovery
These Terms and any dispute arising out of them are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Any legal action must be brought in the state or federal courts located in Durham County, North Carolina, and Buyer consents to their jurisdiction. If we engage counsel to enforce these Terms or the Certification against Buyer, we may recover our reasonable attorneys’ fees and costs to the extent permitted by law.
14. General
We may update these Terms prospectively; a new version applies to orders placed after its effective date, and we will give account holders notice by email at least 15 days before a material change takes effect. These Terms, with the documents they incorporate and the applicable order confirmation or invoice, are the entire agreement between Buyer and Mello Tabs on their subject and supersede prior understandings; no course of dealing or trade usage modifies them. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Buyer may not assign these Terms without our written consent.
