This Wholesale Shipping and Returns Policy (“Policy”) applies to all wholesale orders placed with Mello Tabs LLC (“Mello Tabs,” “we,” “us,” or “our”) for hemp-derived chewable tablet and capsule products and any other products offered through our wholesale program (“Products”). This Policy is incorporated by reference into and governed by the Mello Tabs Wholesale Terms; in the event of any conflict, the Wholesale Terms control. Every wholesale order is also conditioned on the Buyer’s Compliance Certification (Forms A and B). By placing a wholesale order, you (“Customer” or “you”) agree to be bound by this Policy as a material term of the sale.
1. Wholesale final sale policy
All sales are final
All wholesale sales of Mello Tabs Products are final. No returns, refunds, or exchanges will be accepted except as expressly provided in Section 1(b) below. The following categories of goods are non-returnable under any circumstances:
- Opened, used, partially consumed, or tampered Products
- Products returned without prior written authorization from Mello Tabs
- Products returned due to change in market demand, regulatory developments in the Customer’s jurisdiction, slow sales, or buyer’s remorse
- Products held beyond 30 days from delivery without a submitted claim
Customer acknowledges that the consumable nature of hemp-derived Products and applicable regulatory considerations make all sales final as a necessary condition of the wholesale relationship.
(b) Damaged, defective, or incorrect items
Products may be eligible for replacement or store credit only if they arrive materially damaged, defective, or incorrect due to an error originating with Mello Tabs. The following conditions apply:
- Customer must notify Mello Tabs in writing within seven (7) calendar days of confirmed delivery. Claims submitted after this period will not be accepted and the shipment will be deemed accepted in its delivered condition.
- Written notice must include the order number, a description of the issue, and photographic or other supporting documentation sufficient for Mello Tabs to evaluate the claim.
- Mello Tabs will evaluate the claim and, if verified, will remedy the issue at its sole discretion by (i) replacing the affected Product with the same SKU or a product of equivalent value, or (ii) issuing a store credit applicable to future wholesale orders. Cash refunds are not available except where required by applicable law.
- Return shipping instructions will be provided if Mello Tabs determines a return is necessary. Prepaid return labels may be issued at Mello Tabs’ sole discretion. Products returned without authorization or not in accordance with Mello Tabs’ instructions will not be processed and may be refused.
- Mello Tabs’ maximum liability for any damaged, defective, or incorrect shipment is limited to the purchase price paid for the affected Products in that order, subject to Section 4.
Customer responsibility for returns
Unless the return is the result of a verified Mello Tabs error, Customer is responsible for all costs associated with returning Products, including packaging, shipping, and insurance. Risk of loss for returned Products remains with the Customer until Mello Tabs confirms written receipt and acceptance of the return.
Acceptance by inaction
Failure to submit a written claim within the seven (7) calendar day inspection period constitutes Customer’s unconditional acceptance of the shipment as delivered. No claims for damage, defect, shortage, or incorrect goods will be considered after this period has elapsed.
Payment disputes; fee recovery
Customer agrees to contact Mello Tabs to resolve any order or billing issue before initiating a chargeback or payment dispute with its bank or payment processor. Nothing in this Policy prohibits a dispute Customer is entitled to bring under the rules of its card network or bank. If a dispute is determined to be invalid because the charge was valid, Mello Tabs may recover the transaction amount, applicable processing and dispute fees, and its reasonable costs of responding. Repeated or abusive disputes may result in immediate termination of wholesale account access.
2. Shipping policy
Shipment terms and title transfer
Products are shipped F.O.B. Origin (Mello Tabs’ facility). Title to Products and all risk of loss, damage, or theft pass to Customer at the time the carrier takes physical possession of the shipment. From that point forward, Mello Tabs bears no liability for loss, theft, delay, or damage to Products in transit, except in cases where such damage is directly attributable to Mello Tabs’ own improper packaging. Mello Tabs selects the carrier and shipping method at its discretion unless the Customer has made prior written arrangements for a specific carrier or method. Mello Tabs makes no guarantee of delivery dates or transit times.
Destinations
Mello Tabs ships within the United States only and does not ship to any destination on its Prohibited Destinations List that is classified as a Tier 1 prohibited destination, under any Buyer’s Compliance Certification. Orders to a destination that Mello Tabs has classified as conditional will ship only after the applicable condition has been satisfied and documented. Customer’s obligations regarding its own resale destinations are set out in the Certification.
Shipping costs and fees
Unless expressly agreed otherwise in writing by Mello Tabs, Customer is responsible for all shipping, handling, and insurance costs. These fees will be disclosed at or before the time of order. Expedited shipping charges are non-refundable once a shipment has been tendered to the carrier, regardless of subsequent order cancellations or disputes.
Delivery inspection
Customer is responsible for inspecting all shipments promptly upon delivery. Customer must: note any visible damage on the carrier’s delivery receipt at the time of delivery, before signing; report any discrepancies, including wrong items, quantity shortages, or visible damage, to Mello Tabs in writing within seven (7) calendar days of confirmed delivery; and retain all original packaging materials until the claim is resolved, as these may be required for a carrier insurance claim. If no written notice is provided within the seven (7) calendar day inspection window, the shipment is conclusively deemed accepted in full.
Carrier claims
Because title and risk of loss pass to Customer at the time of carrier pickup, claims for loss or damage in transit must be filed by Customer directly with the carrier. Mello Tabs will reasonably cooperate with Customer in filing or supporting a carrier claim, including providing shipping records and documentation, but Mello Tabs is not a party to the carrier contract and does not guarantee recovery from the carrier.
Order limitations and holds
Mello Tabs reserves the right to limit shipping destinations, quantities, or methods at any time based on operational, regulatory, or carrier constraints. Orders may be held, partially fulfilled, canceled, or delayed if: payment is not successfully processed or is reversed; fraud, unauthorized activity, or policy violations are suspected; shipment cannot be completed in compliance with applicable law or carrier requirements; the Customer’s Buyer’s Compliance Certification is not current; or the Customer’s account is suspended, under review, or in arrears. Mello Tabs will make reasonable efforts to notify Customer of any hold or cancellation but is not liable for delays or losses resulting from any of the foregoing circumstances.
Customer representations
By placing an order, Customer reaffirms each certification in its Buyer’s Compliance Certification as of the order date, including that Customer is a licensed business entity authorized to purchase, receive, possess, and resell hemp-derived Products in its jurisdiction; that Customer will comply with all applicable federal, state, and local laws governing the possession, resale, and distribution of hemp-derived products; that Customer has verified that the Products are lawful to receive and resell in its jurisdiction and assumes responsibility for any regulatory consequences arising there; and that Customer will not sell or deliver the Products to any person under 21 or the higher applicable minimum age.
Tracking and delivery support
Tracking information will be provided where available. Customer should contact Mello Tabs promptly if a shipment appears lost or significantly delayed. While Mello Tabs will assist with carrier inquiries where possible, Customer acknowledges that title and risk of loss have passed to Customer upon carrier pickup.
3. Force majeure
Mello Tabs shall not be liable for any failure or delay in shipping, fulfillment, or performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics or public health emergencies, carrier disruptions, labor disputes, government actions, supply chain failures, regulatory changes, or other events outside Mello Tabs’ reasonable control (“Force Majeure Events”). In the event of a Force Majeure Event, Mello Tabs will notify Customer as soon as practicable and will use commercially reasonable efforts to resume performance.
4. Limitation of liability
To the fullest extent permitted by applicable law, Mello Tabs’ total liability to Customer arising out of or related to any order, shipment, or product claim under this Policy shall not exceed the total purchase price paid by Customer for the specific order giving rise to the claim. In no event shall Mello Tabs be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, or costs of substitute goods, even if advised of the possibility of such damages.
This limitation does not apply to liability for Mello Tabs’ gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited under applicable law.
5. Legal and contractual protections
Governing law and venue
This Policy is governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any legal action arising out of or relating to this Policy shall be brought exclusively in the state or federal courts located in Durham County, North Carolina, and Customer irrevocably consents to personal jurisdiction in such courts.
Policy updates
Mello Tabs may update this Policy prospectively. The version in effect at the time an order is placed governs that order. Account holders will be notified by email of any material update before it takes effect.
Severability; entire agreement; no waiver; fee recovery
If any provision of this Policy is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. This Policy, together with the Wholesale Terms, the Buyer’s Compliance Certification, and any applicable wholesale account agreement, constitutes the entire agreement between Mello Tabs and Customer regarding shipping, delivery, and returns for wholesale orders and supersedes all prior representations, agreements, or understandings on these subjects; no course of dealing, trade usage, or prior practice shall modify it. Mello Tabs’ failure to enforce any provision on one occasion shall not constitute a waiver of its right to enforce that provision or any other provision on another occasion. If Mello Tabs is required to engage legal counsel or incur costs to enforce this Policy against Customer, Mello Tabs may recover its reasonable attorneys’ fees and costs to the extent permitted by applicable law.
